MTEXT is a set of multiple lines of text with more formatting options such as tab and indent much like a word processor, while standard text is single line plain text.

could I use autocad2005 to open file drawn in autocad2000 and modify them ?
Yes. AutoCAD 2005 can open all DWG files from AutoCAD 2.6 almost 20 years ago to the 2005 format including the 2000 format.
